Terms of Service
These terms are the agreement between Legal Intake Suites, LLC, a North Carolina limited liability company doing business as LISA, Legal Input Suite Application ("LISA," "we," "us"), and the law firm or legal professional that subscribes to or uses LISA (the "Firm," "you"). They cover lisaforlawyers.com, app.lisaforlawyers.com, and every page and service LISA provides to or on behalf of the Firm (together, the "Service"). By creating a LISA account, subscribing, or using the Service, the Firm agrees to these terms. The person who accepts them on the Firm's behalf confirms that they are authorized to do so. The Privacy Policy is part of this agreement.
What LISA Is
LISA is practice management software built for law firms. It can run intake, scheduling, conflict checks, engagement agreements and electronic signatures, document drafting, disclosure and discovery tracking, client communication and approvals, billing and trust accounting records, deadlines, and team administration. LISA is a tool that the Firm operates. LISA is not a law firm, does not practice law, and does not give legal advice to the Firm or to anyone else.
Accounts and Seats
- The Firm designates at least one administrator who manages the Firm's account, adds and removes staff, and chooses the Firm's settings. The Firm is responsible for everything done in its account by its staff and by anyone the Firm gives access to.
- Each person who uses LISA needs their own login. Logins may not be shared. The Firm will keep its credentials secure and tell LISA promptly at support@lisaforlawyers.com if it suspects unauthorized access.
- A "billing seat" is a login for anyone who bills or tracks time in LISA, including attorneys and paralegals. Billing seats are paid. Logins for staff who do not bill or track time, such as an assistant, receptionist, or bookkeeper, are free. The Firm agrees to classify its staff honestly, and LISA may reclassify a login as a billing seat if it is used to bill or track time.
- The Firm will give LISA accurate contact and payment information and keep it current.
The Firm's Data
Everything the Firm and its staff put into LISA, and everything LISA collects from the Firm's clients and prospective clients on the Firm's behalf, is the Firm's data. The Firm owns it. LISA processes it only to provide the Service, as described in the Privacy Policy, and claims no other rights in it. The Firm can export its data at any time while it subscribes and for ninety days after its subscription ends, after which LISA deletes it as the Privacy Policy describes. The Firm is responsible for the accuracy and lawfulness of its data and for having whatever consent it needs to put information about its clients, staff, and others into LISA.
Professional Responsibility Stays With the Firm
LISA helps the Firm do its work. It does not do the Firm's work for it, and it does not take on the Firm's professional obligations. In particular:
- Drafts are drafts. Documents, pleadings, forms, agreements, and correspondence that LISA generates are starting points based on the Firm's templates and inputs. A lawyer at the Firm is responsible for reviewing every document before it is sent, signed, or filed.
- Checklists and deadlines are reminders. LISA's disclosure and discovery tracking, deadline calculations, and reminders are aids to the Firm's own calendaring and case management. The Firm remains responsible for knowing and meeting its deadlines and for verifying every date against the applicable rules and orders.
- Trust accounting records are the Firm's records. LISA helps the Firm keep its trust and operating records organized and reconciled. The Firm remains responsible for complying with the trust accounting rules of the North Carolina State Bar and every other authority that governs it, including reconciliations, reviews, and record retention.
- Conflict checks depend on the Firm's data. LISA searches the information the Firm has entered. A conflict search is only as complete as the Firm's records, and the Firm remains responsible for its conflict-checking procedures.
- Client communications are the Firm's communications. Messages, approvals, booking confirmations, and documents that LISA sends on the Firm's behalf are sent in the Firm's name, and the Firm is responsible for their content and for how it communicates with its clients.
The Firm is responsible for confirming that its use of LISA complies with the North Carolina Rules of Professional Conduct and any other rules that apply to it, including rules on confidentiality, supervision of staff, communication with clients, and the use of technology.
The Firm's Clients and the Public
LISA provides booking pages, intake forms, approval requests, a client portal, and similar pages that the Firm's clients and prospective clients use. Those people are the Firm's clients, not LISA's. The Firm decides what information to collect through LISA, how to use it, and how to respond to the people who provide it. The Firm's own engagement agreements and privacy practices govern its relationship with them. LISA may show a small "Powered by LISA" mark on those pages unless the Firm's package or add-ons remove it.
Connected Services
The Firm may connect LISA to accounts it holds with other providers, such as Google Workspace for email and calendars, a payment processor, or a document storage service. Each of those services is governed by its own terms, and the Firm is responsible for its accounts with them. LISA uses the access the Firm grants only to provide the features the Firm has turned on, and the Firm can disconnect a service at any time. LISA is not responsible for the availability or conduct of another provider's service.
Electronic Signatures
LISA lets the Firm send agreements and other documents for electronic signature and keeps a record of each signature, including who signed, when, and from where. The Firm agrees that it will use electronic signatures only where the law allows them, that it will give signers whatever disclosures the law requires, and that the Firm, not LISA, decides whether a particular document may be signed electronically. LISA keeps the signed record and its audit trail as part of the Firm's data.
Subscriptions, Fees, and Payment
- LISA is sold as a monthly subscription, priced per billing seat, with optional add-ons priced per Firm. Current prices are published at lisaforlawyers.com. Prices quoted in writing to a specific Firm, including any founding firm or prepaid terms, control over the published prices for that Firm for the period stated.
- Fees are billed in advance for each monthly period and are charged to the payment method the Firm provides. Adding a billing seat during a period is charged on a prorated basis for the rest of that period. Removing a seat takes effect at the start of the next period.
- Prepaid periods are not refundable except as a written offer to the Firm says otherwise.
- LISA may change its published prices on at least thirty days' written notice to the Firm. A change does not apply to a prepaid period or to a written price commitment until that period or commitment ends.
- If a payment fails, LISA will tell the Firm and retry. If the account is still unpaid fourteen days after notice, LISA may suspend access until it is paid. The Firm's data stays intact during a suspension.
- Fees do not include taxes. The Firm is responsible for any sales, use, or similar tax that applies to its subscription.
Acceptable Use
The Firm will use LISA only for its own legal practice and only in ways that are lawful. The Firm will not:
- Use LISA to send unsolicited bulk messages, or to send anything unlawful, deceptive, or harmful.
- Try to get around LISA's security, access another firm's data, or test LISA for weaknesses without written permission.
- Copy, resell, sublicense, or provide the Service to anyone outside the Firm, or use it to build a competing product.
- Reverse engineer LISA, scrape it, or overload it.
- Upload anything that infringes someone else's rights or that contains malicious code.
LISA's Rights in the Service
LISA owns the Service, including its software, design, templates that LISA provides, documentation, and the LISA name and marks. The Firm receives a limited, non-exclusive, non-transferable right to use the Service for its own practice while it subscribes and follows these terms. Templates, forms, and content that the Firm creates or uploads remain the Firm's. If the Firm gives LISA suggestions or feedback, LISA may use them without any obligation to the Firm, and nothing in that feedback will be treated as the Firm's confidential information.
Confidentiality
LISA understands that the Firm's data includes information that is confidential and privileged. LISA will keep the Firm's data confidential, will not look at it except to provide the Service, to resolve a support request with the Firm's permission, or as the law requires, and will protect it as the Privacy Policy describes. If LISA receives a subpoena or other legal demand for the Firm's data, LISA will tell the Firm promptly unless the law prohibits it, so the Firm can seek protection.
Availability and Support
LISA works to keep the Service available at all times and will schedule maintenance outside normal business hours where it can. LISA does not promise that the Service will be uninterrupted or error-free. Support is available by email at support@lisaforlawyers.com, and LISA will respond as quickly as it reasonably can during business hours in North Carolina. LISA may add, change, or retire features as the Service develops, and will give reasonable notice before removing a feature the Firm relies on.
Early Access
Some features, and during a launch period the Service as a whole, may be offered as a beta or early-access release. Those features are provided for the Firm to try and evaluate, may change or be withdrawn, and may not work as intended. The Firm should take particular care in reviewing anything a beta feature produces before relying on it.
Disclaimers
Except as these terms expressly state, the Service is provided "as is" and "as available," and LISA disclaims all other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. LISA does not warrant that any document, calculation, deadline, checklist, conflict search, or record produced by the Service is complete, accurate, or sufficient for any purpose. The Firm's own professional judgment, not the Service, is the final check on the Firm's work.
Limitation of Liability
To the fullest extent the law allows, LISA will not be liable to the Firm for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or the cost of substitute services, arising out of or related to the Service or this agreement, however caused and under any theory of liability, even if LISA has been advised of the possibility of those damages. LISA's total liability to the Firm for all claims arising out of or related to the Service or this agreement will not exceed the fees the Firm paid to LISA in the twelve months before the event giving rise to the claim. These limits do not apply to LISA's breach of its confidentiality obligations, to either party's gross negligence or willful misconduct, or to anything that cannot be limited by law.
Indemnification
The Firm will defend and indemnify LISA against claims brought by third parties that arise from the Firm's data, the Firm's practice of law, the Firm's communications with its clients and others, or the Firm's use of the Service in violation of these terms or the law. LISA will defend and indemnify the Firm against claims brought by third parties that the Service, as provided by LISA and used in accordance with these terms, infringes that third party's intellectual property rights. Each party will tell the other promptly of a claim it wants defended and will cooperate reasonably in the defense.
Term and Ending the Agreement
- This agreement starts when the Firm creates its account and continues until it is ended as described here.
- The Firm may cancel its subscription at any time from its account settings or by emailing support@lisaforlawyers.com. Cancellation takes effect at the end of the current billing period, or at the end of any prepaid period, and the Firm keeps access until then.
- LISA may suspend or end the Firm's access if the Firm materially breaches these terms and does not cure the breach within fourteen days of notice, if the account remains unpaid as described above, or immediately if the Firm's use threatens the security or integrity of the Service or other firms' data.
- LISA may stop offering the Service on at least ninety days' notice to the Firm, and will refund any prepaid fees for the period after the Service ends.
- When the agreement ends for any reason, the Firm may export its data for ninety days, after which LISA deletes it. The sections of these terms that by their nature should survive, including those on the Firm's data, confidentiality, disclaimers, limitation of liability, indemnification, and governing law, survive the end of the agreement.
Changes to These Terms
LISA may update these terms as the Service develops. If a change materially affects the Firm's rights or obligations, LISA will email the Firm's administrator at least thirty days before the change takes effect. Continuing to use the Service after that date means the Firm accepts the updated terms. If the Firm does not agree, it may cancel before the change takes effect, and LISA will refund any prepaid fees for the period after cancellation.
Governing Law and Disputes
This agreement is governed by the laws of the State of North Carolina, without regard to its conflict of laws rules. Before either party starts a lawsuit, it will give the other written notice of the dispute, and the parties will try in good faith to resolve it within thirty days. Any lawsuit arising out of or related to this agreement will be brought in the state or federal courts located in North Carolina, and each party consents to the jurisdiction of those courts. Each party will bear its own attorneys' fees except where the law or a court orders otherwise.
General
- These terms, the Privacy Policy, and any written price commitment LISA has made to the Firm are the entire agreement between LISA and the Firm about the Service, and replace any earlier discussions or proposals.
- The Firm may not assign this agreement without LISA's written consent, except to a successor that takes over the Firm's practice and agrees to these terms. LISA may assign it to a successor of its business on notice to the Firm.
- Notices to LISA go to support@lisaforlawyers.com. Notices to the Firm go to the email address of its administrator.
- If any part of these terms is found unenforceable, the rest remains in effect.
- A party's failure to enforce a term is not a waiver of its right to do so later.
- LISA and the Firm are independent contractors. Nothing here creates a partnership, joint venture, agency, or attorney-client relationship between them.
